Mid-Level M&A Associate

About the Opportunity
Foley & Lardner LLP is seeking a Mid-Level M&A Associate (4–8 years of experience) to join its nationally recognized Transactions Practice Group in any of its U.S. offices. This position offers the opportunity to advise publicly and privately held middle market and upper middle market companies, private equity sponsors, and other investors on sophisticated domestic and cross-border mergers and acquisitions.
The ideal candidate will have significant experience handling complex corporate transactions, particularly private equity-driven M&A, and will thrive in a collaborative, fast-paced environment with direct client interaction and meaningful responsibility.
Key Responsibilities
- Represent public and private companies, private equity sponsors, and investors in complex M&A transactions.
- Advise clients on acquisitions, divestitures, mergers, joint ventures, and other strategic corporate transactions.
- Draft, review, and negotiate transaction documents and ancillary agreements.
- Manage multiple workstreams simultaneously throughout all phases of a transaction.
- Coordinate with clients, opposing counsel, financial advisors, and internal deal teams.
- Collaborate with attorneys across offices and practice groups to deliver practical, business-focused legal solutions.
- Build and maintain strong client relationships while contributing to business development initiatives.
Qualifications
- 4–8 years of experience in corporate mergers and acquisitions.
- Significant experience representing clients in sophisticated M&A transactions.
- Strong drafting, negotiation, analytical, and communication skills.
- Demonstrated ability to manage complex transactions and multiple priorities.
- Experience working directly with clients and multidisciplinary deal teams.
- Interest in business development and long-term client relationship management.
- Strong academic credentials.
- J.D. from an ABA-accredited law school.
- Active Bar membership in good standing in at least one U.S. jurisdiction, with timely admission to the Bar of the hiring office's state as required.

Compensation
Salary Range: $290,000 – $420,000
Actual compensation is based on experience, education, internal equity, and other job-related factors.
